Buddhajyoti Laghubitta and Mirmire Laghubitta Calls SGM on Ashad 31 to Endorse Acquisition-Related Agendas

Buddhajyoti Laghubitta Bittiya Sanstha Limited (BJLBSL) and Mirmire Laghubitta Bittiya Sanstha Limited (MMFDB) have called its Special General Meeting (SGM) on Ashad 31, 2079 respectively. The meeting of BJLBSL's will be held in the company's central office located in Lumbini Sanskritik Nagarpalika-9, Parsa, Rupandehi whereas MMFDB's meeting will be held in Hotel Sarathi, Dhulikhel, Kavrepalanchowk. Both the meeting will begin from 11 AM that day.
Mirmire Laghubitta had signed a preliminary agreement to acquire Buddha Jyoti Laghubitta. Chairman Tek Bahadur Bohara on behalf of Mirmire Laghubitta and Chairman Govinda Pandey on behalf of Buddhajyoti Laghubitta signed the MoU.
The companies have called their SGM to discuss and approve the Chairman's report that will be submitted on behalf of the Board of Directors regarding the acquisition of Buddha Jyoti Laghubitta by Mirmire Laghubitta. The SGM will also approve the proposal to amend of various rules of the institutions and Memorandum of Association. Also, MMFDB will issue FPO to maintain promoter - public share ratio post acquisition of Buddhajyoti.
Furthermore, the meeting will evaluate the initial Memorandum of Understanding (MoU), Due Diligence Audit (DDA), assets and liabilities related to acquisition and also approve the decisions made by Joint Acquisition Committee and Board of Directors in this regard.
Ashad 24 is the book closure date for MMFDB. Thus, the shareholders maintained before that day are eligible to attend this SGM.
