Citizens Bank International Limited AGM on Kartik 12; To Endorse 4.21% Dividend

Citizens Bank International Limited (CZBIL) has called its 18th AGM on 12th Kartik, 2081. The meeting will be held in Amritbhog, Kalikasthan, Kathmandu, starting at 9 a.m. that day.
Among the other agendas, the AGM will endorse a 4.21% dividend for the fiscal year 2080/81. The 463rd meeting of the Board of Directors (BODs) held on Ashwin 7 decided to distribute a 0.21% cash dividend worth RS. 2.98 Crores and a 4% bonus share worth Rs. 56.80 Crores. The paid-up capital of the company stands at Rs. 14.20 Arba. The cash dividend includes the tax amount for the bonus shares.
Furthermore, there is an agenda to endorse the auditor's report with PL statements, financial reports, and cash flow reports for FY 2080/81 and appoint an auditor for the fiscal year 2081/82.
The agenda includes proposing amendments to the bank's charter to enhance issued and paid-up capital, define share types, and impose restrictions on share purchases and transfers. Additionally, it aims to address regulatory changes, establish quorum requirements, and set minimum shares needed to qualify as a director, while clarifying shareholder rights and voting privileges. The amendments also involve provisions for preference shares and recommend increasing meeting allowances for directors, pending approval from Nepal Rastra Bank.
Ashwin 29 is the book closure date. Thus, shareholders maintained before that day are entitled to the dividend payout and can also attend this AGM.
