Dhaulagiri Laghubitta and Khaptad Laghubitta Calls AGM on Baisakh 16 to Endorse Merger-Related Agendas

Dhaulagiri Laghubitta Bittiya Sanstha Limited (DLBS) and Khaptad Laghubitta Bittiya Sanstha Limited (KLBS) have called the 4th and 3rd AGM on 16th Baisakh, 2080 respectively. The meeting of DLBS will be held in its central office located at Baglung whereas the meeting of KLBS will be held in Hotel Namaste, Attariya. The meeting of DLBS will start at 10 AM that day while the meeting of KLBS will start at 9 AM.
Among the other agendas, the AGMs will approve a proposal to start the joint transaction under the name "Dhaulagiri Laghubitta Bittiya Sanstha Limited" after the successful merger. As the companies' capital will increase after the merger, pass the resolution to amend the Articles of Association accordingly. The proposal to provide the BoDs authority to oversee all the procedures related to the merger and necessary amendments to be done as directed by regulatory bodies will be approved during the meeting. The meeting of DLBS will elect a director from the public shareholding group while the KLBS meeting will elect 2 directors from the public shareholding group.
The companies inked a merger agreement on 18th Mangsir 2079. DLBS has 10.31 lakh units of its IPO shares listed and KLBS has 4 lakh units of its shares listed on the Nepal Stock Exchange (NEPSE). The total paid-up capital of DLBS is Rs. 10.31 Crores whereas the same of KLBS is Rs. 4 Crores.
Baisakh 01 is the book closure date for both companies' AGM. Thus, the shareholders maintained before that day can attend this AGM.
