Dhaulagiri Laghubitta and Khaptad Laghubitta Calls SGM on 6th Chaitra to Endorse Agendas Related Merger

Dhaulagiri Laghubitta Bittiya Sanstha Limited (DLBS) and Khaptad Laghubitta Bittiya Sanstha Limited (KLBS) have called their SGM on 6th Chaitra, 2079 respectively. The meeting of DLBS will be held in its central office located at Baglung whereas the meeting of KLBS will be held in Hotel Namaste, Attariya. Both the meetings will start at 10 AM that day.

Among other agendas, both the AGM will pass a resolution regarding evaluating and endorsing the Due Diligence Audit, Memorandum of Understanding, and endorse a share swap ratio for the merger between Dhaulagiri Laghubitta and Khaptad Laghubitta. The meeting will also appoint an auditor consultant to evaluate the Due Diligence Audit and the other financial statements of the company and determine his remuneration.

Furthermore, this SGM will endorse providing full authority to the board of directors to amend various merger-related proceedings accordingly if any instructions are received from the regulatory bodies.

Dhaulagiri Laghubitta and Khaptad Laghubitta inked a merger agreement on 18th Mangsir 2079. Both of these companies recently conducted initial public offerings (IPOs), and DLBS listed 10.31 units of its IPO shares and KLBS listed 4 lakh units of its shares on the Nepal Stock Exchange (NEPSE). The total paid-up capital of DLBS is Rs. 10.31 Crores whereas the same of KLBS is Rs. 4 Crores.

Falgun 26 is the book closure date for both companies. Thus, the shareholders maintained before that day are eligible to attend the SGM.
