Final Merger Agreement Between Naya Sarathi Laghubitta & Vijaya Laghubitta Completed

The final merger agreement between Naya Sarathi Laghubitta Bittiya Sanstha Limited (NSLB) and Vijaya Laghubitta Bittiya Sanstha Limited (VLBS) was completed on Baisakh 30, 2080.

Both institutions convened their respective annual general meetings and endorsed the special resolution relating to the merger. As per the initial merger agreement, it has been agreed that the share swap ratio between NSLB and VLBS will be 1:1. The companies signed the Memorandum of Understanding (MoU) regarding the merger on 26th Mangsir, 2079.

The present share capital of NSLB and VLBS is Rs. 361,040,400 and Rs. 384,000,000 respectively. Therefore, the paid-up capital of the newly merged company will be Rs. 74.50 Crores. The name of the company formed after the merger is yet to be announced.

Naya Sarathi proposed a 20% dividend while VLBS proposed a dividend of 21.0526% dividend for the fiscal year 2078/79. Likewise, the Last Trading Price (LTP) of these companies is Rs. 535 and Rs. 566.
