Green Development Bank Announces 12th AGM on Chaitra 27 to Approve Dividend and Rights Issue

Green Development Bank Limited (GRDBL) has called its 12th AGM on 27th Chaitra, 2081. The AGM will be held in Hotel Peace Palace, Baglung.
Among other agendas, the AGM will endorse the dividend for the fiscal year 2080/81. The 219th meeting of the board of directors held on Poush 02 has decided to distribute 5.75% bonus shares and 0.3027% cash dividend (for tax purposes) from the paid-up capital. Since the paid-up capital of the company is Rs. 53.87 crore, the bonus shares are worth Rs. 3.09 crore, and the cash dividend is worth Rs. 16.30 lakhs.
Furthermore, an agenda is to endorse the auditor's report with PL statements, financial reports, and cash flow reports and appoint an auditor for the fiscal year 2081/82. There is an agenda to elect 2 directors from the public shareholding group and to identify suitable institutions for merger or acquisition, sign an MOU if appropriate, and complete necessary procedures.
After distributing bonus shares, the bank will issue rights shares worth Rs. 630,713,200 at a 1:1.1071 ratio from the post-bonus capital of Rs. 5,696,98,500. Following the issuance, the board is authorized to amend and update the bank’s Memorandum and Articles of Association as required.
The book closure date is declared on Chaitra 15. Thus, investors maintained before that day are entitled to the dividend payout and can also attend the AGM.
