National Microfinance Laghubitta Calls AGM on Baisakh 15 to Endorse 15% Bonus Dividend and Merger-Related Agendas

National Microfinance Laghubitta Bittiya Sanstha Limited (NMFBS) has called its 9th AGM on 15th Baisakh, 2080. The meeting will be held in Dhading Creek Resort, Dhading, starting at 11 AM that day.

Among the other agendas, the AGM will endorse a 15% dividend for the fiscal year 2078/79. The current paid-up capital of the company is Rs. 58.66 Crores. From the paid-up capital, the company has proposed a 15% bonus dividend worth Rs. 8.80 Crores for the fiscal year 2078/79. The meeting will also pass the resolution to amend the Articles of Association.

Furthermore, the AGM will pass a resolution regarding evaluating and endorsing the Due Diligence Audit for the merger between National Microfinance Laghubitta and Summit Laghubitta Bittiya Sanstha Limited (SMFDB). The companies signed a Memorandum of Understanding (MoU) for the merger on Ashwin 26, 2079. For the merger between NMFBS and SMFDB, the share swap ratio of 100:82 has been fixed i.e., for every 100 units of Summit’s shares, the shareholders will get 82-unit shares of National Microfinance.

The book closure date is from Baisakh 04 to Baisakh 15, 2080. Thus, shareholders maintained before that day are entitled to the dividend payout and can also attend this AGM.
