Prabhu Capital to Acquire Century Capital Markets; Both Companies Call SGM on 9th Baisakh to Endorse Share Swap Ratio

Prabhu Capital Limited (PRABHU) and Century Capital Markets Limited (CCML) have called their SGM on 9th Baisakh, 2080 respectively. The meeting of Prabhu Capital will be held in Royal Singi Hotel, Kamaladi whereas Century Capital's meeting will be held in its head office, Kathmandu. Both the meetings will be starting from 9 am that day.

Both the SGMs will pass a resolution regarding evaluating Due Diligence Audit and endorse a share swap ratio of 1:1 for the acquisition of Century Capital Markets by Prabhu Capital Limited. The meeting will also pass an agenda to make necessary amendments to the Articles of Association as the company's authorized, issued, and paid-up capital will increase after the acquisition. Another agenda of the meeting is to discuss regarding issuance of primary shares.

Furthermore, this SGM will endorse providing full authority to the board of directors to amend various acquisition-related proceedings accordingly if any instructions are received from the regulatory bodies.
