Shrijanshil Laghubitta And Manushi Laghubitta Calls SGM To Pass Merger Proposal

Shrijanshil Laghubitta Bittiya Sanstha Limited (SHLB) and Manushi Laghubitta Bittiya Sanstha Limited (MLBS) have called a special general meeting to pass the proposal to merge.
Shrijanshil Laghubitta Bittiya Sanstha Limited (SHLB) has called its Special General Meeting (SGM) on 28th Poush, 2080. The meeting will be held in the head office of the company located at Golbazar, Siraha, starting at 10:30 AM that day.
Similarly, Manushi Laghubitta Bittiya Sanstha Limited (MLBS) has also called its Special General Meeting (SGM) on 28th Poush, 2080. The meeting will be held in Putali Ghar Resort, Banepa-14, Sanga, Kavrepalanchok, starting at 10:30 AM that day.
Among the other agendas, the SGM will pass a resolution regarding evaluating and endorsing the Due Diligence Audit, Due Diligence Report, Business Plan and Projection, and Final Agreement Paper for a merger between Shrijanshil Laghubitta and Manushi Laghubitta. The meeting will also pass an agenda to make necessary amendments to the Articles of Association as the company's authorized, issued, and paid-up capital will increase after the merger.
Furthermore, there's also a proposal to provide full authority to the board of directors to amend various merger-related proceedings accordingly if any instructions are received from the regulatory bodies and there is an agenda to elect the members representing the board of directors on behalf of the promoter and public shareholders.
Earlier, SHLB and MLBS signed a Memorandum of Understanding (MOU) for the merger on Chaitra 5, 2079.
The paid-up capital of MLBS and SHLB stands at Rs. 10.93 Crores each. Hence, after the merger, the company will have a joint paid-up capital of Rs. 21.86 Crores.
The book closure date is on Poush 22. Thus, the shareholders maintained before that day can attend this SGM.
